Terms of Service

These Terms of Service ("Terms") govern your use of LogThis, operated by LE 589X LLC ("we", "us", or "our"). By using our Service, you agree to these Terms.

1. Service Description

LogThis is a cloud-based time tracking and team wallet management platform. The Service lets project owners set budgets, invite team members with pre-set hourly rates, log time against tasks, track member balances, record payouts, and receive email alerts. It also includes AI-powered hour estimation for tasks.

2. Accounts & Access

To use the Service you must either create an account as a project owner or be invited to a project by an admin. Workers join projects through email invitations only — the Service does not support open self-signup for non-owner roles.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this requirement.

3. Acceptable Use

You agree not to use the Service to:

  • Transmit malware, viruses, or other harmful code
  • Violate any applicable law, regulation, or third-party rights
  • Impersonate another person or entity
  • Log fraudulent hours or falsify financial records in another party's project
  • Attempt to gain unauthorized access to other accounts or projects
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any illegal purpose

We reserve the right to suspend or terminate accounts that violate these terms.

4. Your Data

You retain ownership of all data you submit to the Service, including project information, tasks, time logs, and ledger entries ("Your Data"). We do not claim ownership of Your Data.

You grant us a limited license to process, store, and transmit Your Data solely for the purpose of providing the Service. This includes storing your project and time data, displaying it to authorized members of your project, sending transactional emails, and submitting task descriptions to our AI provider when you request an hour estimate.

You are responsible for ensuring you have the right to submit any data to the Service, including any personal information of your team members or contacts.

5. Payouts & Financial Records

LogThis tracks balances and records payouts (for example, Zelle transfers logged by an admin) but does not process payments, move money, or act as a financial intermediary. All actual payment settlements between project owners and workers happen outside the Service. We are not a bank, payment processor, or money transmitter, and we make no guarantees about the accuracy of balances except as a reflection of the data you enter.

6. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.

7. Pricing & Payment

The Service is offered in free and paid tiers. Pricing is listed on our Pricing page and may change with 30 days' notice.

Paid subscriptions are billed monthly per seat. You may cancel at any time, and your subscription will remain active until the end of the current billing period. We do not offer refunds for partial months.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LE 589X LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LE 589X LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. You may delete your account from the Service settings. We may suspend or terminate your access if you violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Modifications

We may modify these Terms from time to time. We will notify you of material changes via email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.
